PROBUS CENTRE-CANADA, INC.

 DUTIES OF MEMBERS OF THE BOARD OF DIRECTORS 

The primary responsibilities of the Directors are:

(1)…… To assist in the promotion and development of new Probus Clubs in their specific area and,  

(2).…... To be available to provide advice and guidance to existing clubs when requested, and  

(3)…… To serve on special Committees or Task Forces of the Board when requested.  They also have the normal
              responsibilities to monitor and have input on: 

The financial activities of Probus Canada, any revisions to the Constitution and Bylaws,  

The Probus Liability Insurance program, etc. (the normal duties of any Director, similar to those of a local Probus Club). 

A list of all Members of the Board is included in the National Membership Directory and is published regularly in the National Newsletter
circulated on a quarterly basis.

The Probus Centre-Canada, Inc. Board of Directors consists of  twelve (12) Directors selected from across the various regions of the country.
The breakout of Directors, as per our Constitution, is as follows....     Atlantic  - (1);       Ontario - (6);       N.W. Ontario/Manitoba/ Sask./Alberta - (2);
British Columbia - (3).

The Board of Directors of Probus Canada elect an Executive Committee who are basically responsible for the daily operations of Probus-Centre Canada, Inc. The Executive or Board meets quarterly by Conference Call and the Board is kept informed in writing or by email, or other means, of
the day to day activities taking place. Periodic conference calls to the entire Board are held when special needs dictate such action. All members
of the Board are invited to the Annual Meeting, held in a convenient Canadian location, generally in the month of April.
 

All meetings do have a full agenda and attendance is very good. Unfortunately we do not have an adequate budget to allow for all meetings to be
held in person, but we do have a small budget to assist any directors who may have out-of pocket expenses related to their duties (travel to special meetings, telephone, etc.). Members of the Board who may be asked, on occasion, to carry out specific tasks on behalf of the Board, will be offered
 the opportunity to cover expenses, but fortunately many do what they do for the good of Probus.


Directors are elected for a three year term and are eligible for a second three year term.
 

All Directors are expected to be willing to serve on the Executive Committee should they be asked to do so.
